Before you can submit any artwork, content, or other creative material (“Work”) to Women in Animation, Inc., a California corporation, (“WIA”) in connection with the Roar Art Project, you must agree to these terms and conditions under which you will provide the Work to WIA (the “Agreement”).  BEFORE CLICKING “I AGREE”, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT.  BY CLICKING “I AGREE” AND SUBMITTING A WORK TO WIA, YOU ARE UNCONDITIONALLY CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT WITH RESPECT TO THE WORK.

  1.  You hereby grant WIA, its designees, agents, successors, assigns, licensees, and whoever else WIA may designate from time to time, the irrevocable, royalty-free, fully paid up, perpetual, worldwide and unrestricted right to use, reproduce, modify, distribute, perform, display, publish, or copy, in whole or in part, in any medium throughout the world, now or hereafter known.

 

  1.  You hereby grant all clearances, copyright and otherwise, for the use of your name, likeness, image, and appearance and performance embodied in the Work (collectively referred to as “Likeness”).  For clarity, WIA will not use your Likeness outside of the Work if you have chosen to remain anonymous.

 

  1.  You hereby waive any right you may have to inspect or approve WIA’s exercise of its rights in and to the Work and acknowledge that any decision to display or not display any Work is in WIA’s sole and absolute discretion.

 

  1.  You confirm, represent, and warrant that:
  1. You have the right to enter into this Agreement, are at least 18 years of age, and are capable and authorized to enter into this Agreement;
  2. The Work is your original work;
  3. The Work has never been published, or if the Work has been published, that the submission of the Work to WIA and WIA’s exercise of any of its rights under this Agreement shall not violate any agreements, understandings, obligations, constraints, or any other limitations or restrictions;
  4. You have no contractual or other arrangements which would interfere with or prevent the grant of the license herein;
  5. You are not restricted from performing your obligations under this Agreement, including granting the license herein;
  6. WIA is not restricted from exercising its rights under this Agreement by any obligations you have to third parties;
  7. WIA has no financial commitment or obligations now or in the future to you or any third party as a result of this Agreement;
  8. Nothing in the Work infringes the copyright or other rights of any third party;
  9. Nothing in the Work is defamatory or obscene;
  10. Nothing in the Work contains any third-party names, likenesses, images, appearances or performances, or any personally identifiable information that would allow a viewer of the Work to identify a specific person or entity other than you;
  11. There are no claims, proceedings, or litigation relating to the Work which may in any way diminish or infringe upon granting the license herein;
  12. WIA is not obligated to use the Work in any way;
  13. You have obtained all necessary third-party consents, rights, licenses and permissions, if any, that are required to enter into and perform this Agreement and to grant WIA the rights under this Agreement (including, without limitation, consents and permissions from owners of any elements that are used in the Work);
  14. The Work and WIA’s use of the Work does not and will not infringe any rights of any third party, including any trademark, copyright, patent, trade secret, right of privacy or publicity, or moral rights of any third party;
  15. All information that you have provided or will provide to WIA is true and complete; and
  16. The Work does not and will not violate any law, statute, ordinance, or regulation.

 

  1.  You hereby permanently, irrevocably, and forever waive and release, discharge, indemnify, and hold harmless WIA from any liability arising from any claims related to any losses, damages, right of publicity or privacy, false endorsement or sponsorship, defamation, or portrayal in a false light, as well as any claims based on the blurring, distortion, alteration, optical illusion, or other visual effects or use of the Work in composite form, whether intentional or otherwise that may occur or be produced, including any unintentional misrepresentations or inaccuracies related to the Work, WIA’s use of your name, likeness, image, and appearance and performance embodied in the Work, or your breach of this Agreement.

 

  1.  This Agreement is subject to California law without regard to choice of law principles.
